On March 19, 2016, following a comprehensive succession planning process of the Executive Management led by AXA’s Compensation & Governance Committee, AXA’s Board of Directors unanimously decided to separate the functions of Chairman of the Board of Directors and Chief Executive Officer.

The Chief Executive Officer

Mr. Thomas Buberl was appointed by the Board of Directors of August 2, 2016, Chief Executive Officer as of September 1st, 2016 ; the Board of Directors of September 1st, 2016 appointed Mr. Thomas Buberl as director, replacing Mr. Henri de Castries.

The Chief Executive Officer is vested with the broadest powers to act on behalf of the Company and represents the Company vis-à-vis third parties. He exercises these powers within the scope of the corporate purpose and subject to the powers expressly assigned by law to the Shareholders' Meetings and to the Board of Directors.

Management Committee

The Management Committee

The Chief Executive Officer has decided to establish a Management Committee to assist it in the operational management of the Group. The Management Committee has no formal decision making authority.

As of September 1st, 2016, this Management Committee comprised ten members:

The Management Committee also holds meetings dedicated to the "Quarterly Business Reviews" (QBRs) during which its members welcome senior executives from the main entities of the Group. They present the performance of their operations and the progress status of their key projects using defined quantifiable standards of measurement which are common to all entities of the Group.

The Partners group

The Management Committee is supported by a Partners group. Its principal mission is to review and define the Group's strategy.

The Partners group is composed of the members of the Management Committee plus 30 other senior executives from across the Group.

The Partners group holds quarterly meetings to review the development and implementation of key strategic initiatives in the context of Ambition 2020.

The Partners group has no formal decision making authority. The Partners group is advisory in nature and serves as an important sounding board in formulating Group strategy and considering key business issues or strategic initiatives. As a team, the members of the Partners group also contribute to shape and disseminate AXA's management culture.
