Resolutions submitted to AXA’s Shareholders’ Meeting of April 25, 2018

AXA announces the publication of the resolutions proposed by its Board of Directors to its next Shareholders’ Meeting to be held on April 25, 2018 at 2:30 pm at the Palais des Congrès in Paris (75017) in the Bulletin des annonces légales obligatoires.

In addition to an increase of the dividend (to €1.26), shareholders will be asked to approve the following main resolutions:

• re-appointment of Denis Duverne, Thomas Buberl and André François-Poncet as directors.
• appointment of Patricia Barbizet and Rachel Duan as directors, replacing Isabelle Kocher and

Suet Fern Lee whose terms of office will expire at the next Shareholders’ Meeting.

Mrs. Patricia Barbizet was formerly CEO of Artémis, the investment company of the Pinault family, of which she is still a director. She is also Vice-Chairman of the Board of Directors of Kering and lead independent director of Total.

Mrs. Rachel Duan began her career at GE in 1996, and is currently President and CEO of GE China and President and CEO of GE Healthcare China.
