Senior Assistant Corporate Secretary and Counsel for holding company in the process of going public and Corporate Secretary and Counsel for principal operating subsidiaries, reporting to the General Counsel.

Manage all operations and functions of Corporate Secretary's Office for corporate group containing 30+ companies, including:

(i) coordination and preparation of materials for all board and committee meetings (drafting minutes/written consents, agendas, resolutions and related supporting documentation),

(ii) management of board schedule, budget and director compensation,

(iii) preparation and distribution of company-wide SEC and Conflicts of Interest Questionnaire,

(iv) maintaining key corporate documents and records and

(v) onboarding of new directors, and (v) manage a team of three Assistant Secretaries.

For public company, will:

(i) retain transfer agent and maintain responsibility for ongoing relationship,

(ii) research and respond to shareholder requests for information,

(iii) maintain primary responsibility for annual shareholder meetings, including drafting of proxy materials, as well as compliance with all stock exchange corporate governance and notice requirements and

(iv) establish, and maintain ongoing responsibility for, Section 16 reporting and ensure compliance with other Section 16 requirements.

  • Corporate counsel with [10+] years' experience, specializing in corporate governance practice and preferably as corporate secretary or assistant corporate secretary at a public company, including board involvement and managerial experience
  • Excellent interpersonal, communication, organizational and analytical skills
  • Detail orientated and flexible
  • Securities and insurance law experience preferred
