We are looking for a securities law attorney to provide counsel with respect to the company’s disclosure process and support a wide range of corporate transactions.

Responsibilities include:

  • Assisting in the preparation of ’34 Act filings, including Form 10-K, Form 10-Q, Form 8-K, proxy statements, beneficial ownership and Section 16 filings
  • Assisting in the preparation of ’33 Act filings in connection with both equity and debt offerings
  • Ensuring the company’s compliance with the Sarbanes-Oxley Act of 2002, the Dodd-Frank Act of 2010 and relevant stock exchange listing rules and requirements
  • Ensuring insider securities transaction compliance with applicable law and company policies and draft 10b5-1 plans as needed
  • Supporting the Investor Relations, Marketing and Communications functions by drafting and reviewing press releases, earnings releases, investor presentations and other materials, advising on Regulation FD and counseling on other analyst, media and communication matters
  • Supporting the company's treasury function, with a focus on financing transactions
  • Supporting other corporate transactions, including M&A and strategic transactions, and other corporate matters as needed
  • Collaborating with Law Department colleagues on assigned cross-functional initiatives and projects as required

 


  • J.D. degree, strong academic credentials and New York State bar membership
  • 5+ years of relevant legal experience at a top firm or in-house (a combination is a plus)
  • Excellent analytical, decision-making and problem-solving skills, as well as excellent verbal and written communication skills
  • Sound judgment that balances legal requirements with practical business needs
  • Strong interpersonal skills and work ethic
  • Desire to learn new areas of practice, develop skills and expand responsibilities
