The Alternative Asset Senior Lawyer will provide full legal support to the Credit Team, which comprises 25+ team members and sits within the AXA Group holding company’s Investment & ALM department based in Paris. The AXA Group’s alternative investments portfolio represents an important share of AXA Group’s total invested assets portfolio, with assets under management of €100 billion.

 

The main responsibilities of the Alternative Asset Senior Lawyer will be:

  • Legal review of transactions and related structures in accordance with the various needs of the AXA insurance companies, including:
    • Brownfield or greenfield infrastructure debt or equity financing
    • Commercial real estate debt financing
    • [Trade receivables]
    • Private corporate lending portfolios
    • Fund investment/co-investment opportunities in any of the above underlying assets
    • Portfolio senior financing (e.g. non-performing consumer/mortgage loans or mid-market loans as underlying assets)
    • Any type of private securitisation (e.g. private CLOs with bespoke features or other structured financing (debt or equity) including aircraft, rail car or leasing financing)
  • Reviewing and negotiating partnership terms with third party asset managers or industrials
  • Assisting in the selection of third party asset managers, including addressing any legal issues arising therefrom
  • Selecting and managing external legal advisors to assist in the structuring, set-up and regulatory compliance of new investments
  • Working closely with the Alternative Asset Senior Structurer to incorporate all relevant structuring considerations into the legal documentation
  • Actively interacting with AXA’s Group asset managers and AXA entities, notably in the set-up of new funds or investment mandates
  • Regularly interacting with Group Legal, Group Investment & ALM, Group Risk Management, Group Accounting and Group Tax and potentially other senior management
 
Key accountabilities:
 

The Alternative Asset Senior Lawyer will prioritise on a daily basis:

  • Delivering efficient and timely legal support to the Credit Team
  • Active collaboration with internal as well as third party asset managers’ legal teams
  • Assessing at an early stage the legal feasibility of new investment opportunities
  • Analysing the various legal risks of transactions and their related structures
  • Knowledge transfer and successful integration within the Credit Team
 

As an Experienced senior qualified lawyer (at least 8 years’ post-qualification experience) with first-ranking, international law firm  and / or Investment Banking or Asset Manager proven experience; your main qualifications are the following:


Technical and professional skills:


  • Specific transactional experience and familiarity with:
    • complex credit asset transaction
    • negotiating legal credit documentation (covenants, waivers, waterfalls)
    • strong knowledge of fund and special purpose vehicle documentation generally
    • good understanding of asset management regulation (AIFMD, EMIR, securitisation regulation
    • Familiarity with derivatives products and documentation
    • Knowledge of the investment, legal and regulatory constraints facing insurance companies, particularly in the context of investment mandates
    • French language skills (fluency in written and spoken English is required)
